These Terms & Conditions ("Terms") govern access to and use of the Adon3 real-time bidding exchange, dashboard and related services (collectively, the "Exchange") operated by Adon3, Inc. ("Adon3", "we", "us"). By connecting an endpoint or accessing the Exchange, you ("Partner") agree to these Terms on behalf of your organization.
By creating an account, integrating a demand or supply endpoint, or otherwise transacting through the Exchange, you confirm that you have authority to bind your organization and that you accept these Terms in full. If you do not agree, you must not use the Exchange.
"DSP" means a demand-side platform purchasing inventory through the Exchange. "SSP" means a supply-side platform offering inventory. "Endpoint" means a configured connection over which bid requests and responses are exchanged. "OpenRTB" refers to the IAB Tech Lab specification used for programmatic transactions.
Partners must be registered businesses operating lawfully in their jurisdiction. You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your endpoints. Adon3 may suspend accounts pending verification of identity or supply legitimacy.
You agree to configure QPS limits, bidfloors, timeouts and auction types responsibly and to honor bids submitted through your endpoints. Excessive timeouts, malformed responses, or sustained QPS overages may result in automatic throttling. Adon3 does not guarantee win rates, fill rates, or specific revenue outcomes.
Partners must declare accurate supply-chain (schain) nodes and maintain a valid sellers.json entry. Misrepresenting the source of inventory, omitting intermediaries, or falsifying ASI/SID values is a material breach and grounds for immediate termination.
Adon3 retains a transparent exchange margin disclosed in your billing dashboard. Spend, revenue and profit figures are reported in near-real-time and reconciled at the close of each billing period. Disputes must be raised within thirty (30) days of an invoice date.
Each party is an independent controller of the personal data it processes. Partners must honor applicable consent signals, regional regulations and IAB frameworks. Adon3 processes bid-stream data solely to operate, secure and report on the Exchange.
You may not transmit malware, engage in invalid or fraudulent traffic, misrepresent ad formats, circumvent filters, or reverse-engineer the Exchange. Adon3 employs automated and manual detection and reserves the right to withhold settlement on traffic identified as invalid.
The Exchange is provided "as is". To the maximum extent permitted by law, Adon3 is not liable for indirect, incidental or consequential damages, or for lost profits, arising from use of the Exchange. Aggregate liability is limited to fees paid to Adon3 in the three months preceding the claim.
Either party may terminate with notice. Adon3 may suspend or terminate immediately for breach, fraud or legal risk. Obligations relating to settlement, confidentiality and liability survive termination.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Delaware.
